1. Acceptance of Terms

By accessing and using the Gemoedsrus.co.za website ("the Website"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must discontinue use of the Website immediately.

The Website is owned and operated by RoxWealth (Pty) Ltd, trading as Gemoedsrus, a licensed Financial Services Provider (FSP No. [Number]) authorised by the Financial Sector Conduct Authority (FSCA) of South Africa.

2. Description of Services

Gemoedsrus operates as an independent insurance intermediary (broker) that facilitates long-term insurance products on behalf of clients. Our services include:

• Reviewing existing long-term insurance policies to identify gaps, overlaps, or opportunities for improvement
• Facilitating the renewal, amendment, or replacement of existing policies
• Assisting with new long-term insurance applications across multiple product providers
• Providing access to an AI-powered assistant ("Frik") that helps facilitate the above processes

Gemoedsrus facilitates insurance products from the following authorised insurers: PPS, Liberty Life, Sanlam, and Hollard, among others. We do not underwrite insurance policies ourselves.

3. Nature of Services — Important Disclaimer

Gemoedsrus acts as an intermediary as defined in the Financial Advisory and Intermediary Services Act 37 of 2002 (FAIS). The following important distinctions apply:

• Intermediary, not insurer: We facilitate the relationship between you and insurance product providers. We do not underwrite, guarantee, or issue any insurance policy.
• Not a substitute for professional advice: While our licensed representatives provide guidance based on a financial needs analysis, you are ultimately responsible for your own financial decisions.
• Product provider terms apply: All insurance products are subject to the terms, conditions, and underwriting criteria of the relevant product provider (insurer). Gemoedsrus does not control these terms.
• No guarantee of acceptance: Submission of an application through Gemoedsrus does not guarantee acceptance by any product provider.

4. AI Assistant (Frik) — Terms of Use

Frik is an AI-powered digital assistant available on the Website via chat and/or phone. By using Frik, you acknowledge and agree that:

• Frik is not a financial advisor: Frik facilitates the process of collecting information, answering general questions, and connecting you with licensed human advisors. Frik does not provide personalised financial advice as defined by FAIS.
• Accuracy: While Frik is designed to provide helpful and accurate information, AI-generated responses may occasionally contain errors. You should verify all information, particularly regarding policy terms, pricing, and coverage details.
• Language: Frik currently communicates in English. The Gemoedsrus website interface is primarily in Afrikaans.
• Recording and logging: Interactions with Frik (chat messages, phone conversations) may be recorded and stored for quality assurance, compliance, and service improvement purposes.
• No liability for AI responses: Gemoedsrus shall not be liable for any loss or damage arising from reliance on information provided by Frik without subsequent verification by a licensed advisor.

5. Your Obligations

When using the Website and our services, you agree to:

• Provide accurate, complete, and truthful information in all forms, communications, and interactions
• Disclose all material information relevant to your insurance needs, including pre-existing medical conditions, lifestyle factors, and existing insurance arrangements
• Not misuse the Website, AI assistant, or any of our services for unlawful purposes
• Not attempt to gain unauthorised access to any part of the Website, its servers, or connected systems
• Not engage in any activity that disrupts or interferes with the operation of the Website

Please note that providing false or misleading information to an insurer may result in the rejection of claims or cancellation of policies. Gemoedsrus cannot be held responsible for consequences arising from inaccurate information provided by you.

6. Intellectual Property

All content on the Website — including text, graphics, logos, the "Frik" character and branding, icons, images, software code, and design elements — is the property of RoxWealth (Pty) Ltd or its licensors and is protected by South African intellectual property laws and international treaties.

You may not, without our prior written consent:

• Reproduce, distribute, or publicly display any content from the Website
• Use the Gemoedsrus or Frik branding for any commercial purpose
• Modify, adapt, or create derivative works from the Website content
• Use data mining, scraping, or similar automated data collection tools on the Website

7. Limitation of Liability

To the fullest extent permitted by South African law:

• Gemoedsrus, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or our services
• We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components
• Our liability in respect of any claim shall be limited to the amount of fees (if any) received by us in connection with the specific transaction giving rise to the claim

You agree to indemnify and hold harmless Gemoedsrus, RoxWealth (Pty) Ltd, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your breach of these Terms, your misuse of the Website, or any violation of applicable laws or third-party rights.

These Terms, together with our Privacy Policy, PAIA Manual, and any other referenced policies, constitute the entire agreement between you and Gemoedsrus regarding your use of the Website and supersede all prior agreements, representations, and understandings.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.
